FREE YOUR STORY Contest Rules and Regulations

THESE RULES GOVERN ALL ASPECTS OF PARTICIPATION AND PRIZE AWARD.

1. Introduction. Center for Asian American Media FREE YOUR STORY Contest (“Contest”) is sponsored by Toyota Matrix (“Sponsor”) and the Center for Asian American Media. One (1) Grand Prize winner will be selected from entries received, and six (5) runners-up will be recognized. The Grand Prize for which an entrant is eligible to win is an HD Camera. The Contest is offered via the Internet on www.asianamericanmedia.org, and only within the jurisdictions listed in below.

2. Timing. The Contest begins on May 27, 2008 and ends on September 1, 2008 at 5PM PST.

3. Eligibility. The contest is open only to legal residents of the fifty (50) United States (including the District of Columbia), eighteen (18) years of age or older. Void where prohibited. Employees, officers and directors of the Center for Asian American Media and Toyota and their respective subsidiaries, and agents, as well as the immediate family (defined as spouse, parents, children, siblings and grandparents) and household members of each such employee, officer and director are not eligible. By participating, entrant agrees to abide by these Official Rules and the decisions of Toyota and the Center for Asian American Media, which are final and binding in all respects. VOID WHEREVER PROHIBITED OR RESTRICTED BY LAW.

4. How to Enter. Instructions for the Contest will be posted on the Center for Asian American Media website, www.asianamericanmedia.org. One entry per participant. The deadline to enter and to submit videos is June 23, 2008 at 8PM PST for the first round (where ten (10) semi-finalists will be selected) and August 12, 2008 5PM PST for the second round (where the winner will be selected from the six (6) finalists and announced by September 1, 2008) No entries or videos will be accepted after the deadline. All participating contestants submitting an entry agree to the contest rules outlined within this page. All entries become the property of the Center for Asian American Media and will not be returned.

5. Rights. Each entrant is responsible for releases for the completion of their respective videos. Regarding music releases, entrants must have the rights to any music used in its video. Entrants shall defend, indemnify and hold Toyota and the Center for Asian American Media and their respective affiliated entities, and all sponsors harmless from and against any and all claims, demands, losses, damages, or other payments, including, without limitation, reasonable attorney fees, arising out of any breach or alleged breach of any of your warranties or representations herein. Releases must be available upon request.

6. Selection of Potential Winner. The “Top 10 Most Resourceful, Creative and Energetic” applicants, selected from the submissions by the FREE YOUR STORY Judges, will be posted on the Center for Asian American Media website, www.asianamericanmedia.org, on July 1, 2008 at 5PM PST. Public internet voting of the “Top 10 Most Resourceful, Creative and Energetic” applicants will officially begin on July 1, 2008 at 5PM PST at www.asianamericanmedia.org to determine the potential six (6) finalists who will compete in the final video challenge. Public internet voting officially ends July 21, 2008 at 3PM PST. The potential six (6) finalists of the FREE YOUR STORY Contest, determined by the public internet voting, will be announced on July 22, 2008 by 5PM PST.

The potential six (6) finalists will submit one (1) final video each. From those final videos, one will be chosen by the FREE YOUR STORY jury. The potential Winner will be announced on September 1, 2008.

The FREE YOUR STORY Judges are selected by the Center for Asian American Media.

Potential winner will be notified by email within ten (10) days of announcement of the winner. If a potential winner cannot be contacted within ten (10) days of the first attempt to contact him/her, the potential winner forfeits the prize. In that event, an alternate entrant will be selected in his/her place from among all eligible entries received for the selected contest. Potential winner must comply with all terms and conditions of these Official Rules; winning is contingent upon fulfilling all requirements.

7. Prize. One (1) HD Video Camera. Arrangements for the fulfillment of the Grand Prize will be made by Toyota and the Center for Asian American Media. Toyota and the Center for Asian American Media reserve the right, in their sole discretion, to substitute the Grand Prize, or any portion thereof, with prizes of comparable value. The Grand Prize is non-transferable. The Grand Prize Winner, as a condition of receiving the Grand Prize must sign (i) an affidavit of eligibility and liability to release Toyota and the Center for Asian American Media and their corporate parents, subsidiaries, affiliated entities, advertising agencies, and any other participating sponsors, and their respective employees, from any and all liability, claims, demands and causes of action for personal injury and/or damage, theft, loss, or any other harm suffered in connection with this Competition or the use or acceptance of the Grand Prize (ii) except where prohibited, a promotional release granting the right to use his or her name, likeness and video for advertising and publicity purposes without additional compensation. Entry into this Competition constitutes each entrant’s agreement to sign such releases. Prior to the fulfillment of the Grand Prize, the winner may be required to provide Toyota and the Center for Asian American Media with identification proving his/her age and identity and also sign additional release(s) and/or agreement(s) necessary to fulfill the Grand Prize. ANY VIOLATION OF THESE OFFICIAL RULES BY ANY, THE GRAND PRIZE WINNER (AT TOYOTA AND THE CENTER FOR ASIAN AMERICAN’S SOLE DISCRETION) WILL RESULT IN SUCH INDIVIDUAL’S DISQUALIFICATION AS THE GRAND PRIZE WINNER OF THE COMPETITION AND ALL PRIVILEGES WILL BE IMMEDIATELY TERMINATED. Upon receipt of any part of the Grand Prize, Grand Prize Winner is required to comply with any and all applicable federal, state and local laws, rules and regulations related thereto. The Grand Prize winner is solely responsible for any and all applicable fees and taxes associated with prize receipt and use.

8. Publicity. (a) Entrants hereby agree to submit their entries under the following terms and conditions: (i) that Toyota and the Center for Asian American Media may use entrants videos, and any ideas, concepts, materials, in whole or in part, contained in an entry to advertise, promote, and publicize Toyota and the Center for Asian American Media without further payment or consideration; (ii) entrants have obtained all rights, permissions and licenses necessary for Toyota and the Center for Asian American Media to use the entries for any purpose; (iii) that no entry, or any part thereof, infringes any trademark or copyright or otherwise violates anyone’s right of privacy or publicity; (iv) entrants indemnify and hold harmless Toyota and the Center for Asian American Media from any claims, suits, losses damages and expenses (including reasonable attorneys’ fees) that arise from any breach of the following conditions. All entrants agree to the foregoing and in addition agree to obtain, upon request of Toyota and the Center for Asian American Media, any documentation and releases necessary to prove their unrestricted ownership in all materials contained in their entries and their right to use such materials without limitation for any purpose. (b) Entrants grants to Toyota and the Center for Asian American Media the nonexclusive, irrevocable right and license to exhibit, broadcast, copy, reproduce, encode, compress, encrypt, incorporate data into, edit, broadcast, rebroadcast, transmit, record, publicly perform, and distribute and synchronize in timed relation to visual elements, the entrants videos and the entrants (such as personal information and/or elements, including but not limited to name(s), trademarks, tradenames, likenesses, photographs, biographical materials and all other graphic and/or textual material), and/or any portions or excerpts thereof, in any manner, an unlimited number of times, in any and all media, now known or hereafter devised, throughout the world, in perpetuity to advertise, promote, and publicize Toyota and the Center for Asian American Media, and/or any of Producers’ worldwide programming services in all media throughout the universe and may authorize others to do so without further payment or consideration. Such advertising, promotion, and publicity may include portions and excerpts, in addition to cut-in, synchronized, dubbed and superimposed versions of the Materials. Toyota and the Center for Asian American Media may use and authorize others to use Participant’s name, voice, biography, and likeness as well as those of artists or individuals who rendered services in connection with the entrants videos in any media for the purposes of advertising, promotion or publicizing the use without further payment or consideration by Toyota and the Center for Asian American Media.

9. Release. By receipt of any prize, winner agrees that Toyota and the Center for Asian American Media, it’s respective subsidiaries and affiliated companies, and the agents, employees, directors and officers of these companies (the “Released Parties”), are not liable whatsoever for any injuries, losses or damages of any kind resulting in whole or in part, directly or indirectly, from the acceptance, possession, use or misuse of any prize or from winner’s participation in the Contest.

10. Limitations of Liability. By participating in this Competition, entrants agree to be bound by these Official Rules and by the decisions of Toyota and the Center for Asian American Media which are final in all matters relating to this Competition. No responsibility is assumed for incorrect or inaccurate entry information whether caused by an entrant, any of the equipment or programming associated with or utilized in this Competition or by any human error which may occur in the processing of the entries or votes in this Competition. Neither Toyota nor the Center for Asian American Media is responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer equipment, software, failure of any e-mail or players on account of technical problems or traffic congestion on the Internet or at any Web site, or any combination thereof, including any injury or damage to persons or property, including but not limited to entrant’s computer, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Contest. If, for any reason, the Competition is not capable of running as planned, including, but not limited to, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Toyota and the Center for Asian American Media, or any and all sponsors which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Competition, or for any reason Toyota and the Center for Asian American Media deem it necessary, Toyota and the Center for Asian American Media reserves the right in their sole and unequivocal discretion to cancel, terminate, modify or suspend the Competition and/or the prizes. All interpretations of these Official Rules and the decisions of Toyota and the Center for Asian American Media are final. Toyota and the Center for Asian American Media reserve the right in their sole and unequivocal discretion to disqualify any individual it finds to be tampering, or has tampered with the entry process; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. No more than the stated number of prizes will be awarded.

By submitting materials to this Contest, entrants agrees that Toyota and the Center for Asian American Media, it’s respective subsidiaries and affiliated companies, and the agents, employees, directors and officers of these companies (the “Released Parties”), are not liable whatsoever for any injuries, losses or damages of any kind resulting in whole or in part, directly or indirectly, from the participation in the Contest.

11. Disputes. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrant, and Toyota and the Center for Asian American Media in connection with the Contest shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules or provisions (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

12. Rules and Decisions. All interpretations of the rules and decisions by Toyota and the Center for Asian American Media are final. Toyota, and the Center for Asian American Media reserves the right, in its sole discretion, to disqualify any individual it finds or believes to be tampering with the entry process or the operation of the game; to be acting in violation of these Official Rules; or to be acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Toyota and the Center for Asian American Media reserves the right to amend these rules.
